Client Services Agreement

This Services Agreement (the “Agreement”) is entered into by and between Eternal Me Corporation (“Eternal Me” or the “Company”) and the customer or End User (“Customer,” “You,” or “Your”), and becomes effective upon Your access or usage of any Digital Estate, or any part of any Eternal Me website, platform or service ("Platform"). This Agreement is subject to, and incorporates by reference, the Universal Terms of Service ("UToS").

By accessing or using the Platform, you expressly consent to the collection, processing, and storage of your personal data and account information as described in this Agreement, the Universal Terms of Service, and Company's Privacy Policy. If you do not consent, you should not access or use the Platform.

  1. Service Features. Digital Estates includes several optional features depending upon your order, such as:
    1. Dashboard, one screen where you can manage all features
    2. Inventory Manager, provides easy methods to inventory your assets, liabilities, and income
    3. Digital Directives, make it easier for you to configure third-party legacy settings
    4. Digital Legacy Manager, assign and manage information about your Legacy Managers
    5. Memorials, create a website tribute to your life that is activated when you pass away
    6. Secure Vault, upload documents or files for storage and transfer to fiduciaries
    7. Password Manager, securely store your accounts, passwords, and other credential information
    8. Cold Storage, where ultra sensitive information is stored securely offline
  2. Upon receiving notification of your passing, the Company will:
    1. Validate your death certificate
    2. Lock all access to your Digital Estate
    3. Your Eternal Memorial website will handled in accordance with the Memorial Hosting Terms.
    4. Notify the primary Legacy Manager ("Legacy Manager") you designated within your Digital Estate, and verify their identity using a combination of methods, like 3rd party verification services, photo ID or other documents, in our discretion.
      1. If the Company is unable to reach your designated Legacy Manager or verify their identity within thirty (30) days of receiving notice of your passing, despite reasonable efforts, the Company will attempt to contact any Successor Legacy Managers you have designated.
      2. If no Successor Legacy Manager has been designated, or if the Company is unable to verify or contact them within an additional thirty (30) days, no further outreach will be made. Legacy Managers may still proactively contact Eternal Me to complete the verification process.
      3. If after ninety (90) days none of your Legacy Manager(s) have been verified, the designated legal representative of your estate will be recognized as your Legacy Contact and designated recipient. The Company reserves the right to request appropriate legal documentation to confirm their authority.
    5. Your verified Digital Legacy Manager shall be granted access as follows:
      1. Access to see your specified Asset Inventory
      2. Access to see your specified Digital Directives
      3. Access to your Eternal Vault and Password Manager
      4. Access to your Eternal Memorial as specified in the Memorial Hosting Terms.
    6. Content in your Digital Estate will remain available to your verified Legacy Manager(s) for the duration of time as reflected in your current service plan, unless an optional extension addon plan has been purchased and is active upon your passing.
  3. Specific limitations of certain features. Customer acknowledges and agrees that the extent at which Company can perform services may be limited in various jurisdictions by city, state, province, territory, or government ordinances. In addition, there are some known limitations which are listed below, however, it is likely that unknown limitations exist now or will exist in the future. In every case, Eternal Me will make reasonable efforts to fulfill the particular service or feature, in accordance with all laws and regulations, however, Eternal Me shall not be held liable in any way if unable to fulfill any particular feature of the service.
    1. Digital Directives. While the Platform strives to automatically advise Customers about the Digital Directives options that may be present with the various Digital Assets they've entered, Customer must actually take the action(s) recommended by Eternal Me on the third-party service itself. This typically means manually logging into the third-party site and following the instructions.
    2. Asset Inventory Manager. Customer must attach these asset schedules to their existing will or trust documents, in consultation with their legal counsel. Eternal Me does not provide legal advice. Different states, provinces, territories and jurisdictions have different requirements for how to properly handle this, some requiring signatures or notarization, and some that do not. It is the responsibility of Customer to properly attach their schedules.
  4. Your Account, Access, and Privacy Rights.
    1. You are the only person authorized to access and control your personal Digital Estate. Within your account, you may choose to invite additional individuals — such as family members, fiduciaries, or other trusted parties — to view or help manage your information. This can be done using the Add User tool in your Dashboard. You decide the level of access for each invited person:
      1. Read-Only Access: Allows the invited user to view, but not change, your account information.
      2. Full Access: Allows the invited user to view and manage documents and information, invite others, and adjust settings.
    2. Certain sensitive data is visible only to you while you are alive and active in the system. This includes:
      1. Cold Storage: All encrypted data stored in the Distributed Cold Storage Network.
      2. Passwords: All entries stored in the integrated password manager.
      These items become visible to your assigned Legacy Manager(s) only after your status is marked as Deceased in the system.
    3. If your account was provided by, or linked to a lawyer or law firm, at their discretion and under their responsibility, they may update your account status to “Deceased” or “Incapacitated” using their administrative tools. They will be prompted to upload supporting documentation when doing so. Once updated, the system will release access to your designated Legacy Manager(s) based on your prior configuration. Eternal Me does not review or verify the documentation and accepts no liability for incorrect or unauthorized status changes. If your status is updated in error, you or your attorney must contact Eternal Me immediately through the Eternal Portal to request correction.
    4. You have full control over who can access your account and what level of access they receive. Eternal Me will not grant access to anyone else without your explicit permission, unless legally required. Eternal Pro Customers (e.g., your attorney) or Eternal Me personnel may access your account to help provide service, but both policy and technical safeguards prevent them from viewing your private Cold Storage or Password data.
    5. In situations involving separation, divorce, or disputes among users you have invited, Eternal Me will not intervene or make changes to account permissions unless presented with a valid court order. Unless legally compelled, only you can change access settings, which must be done through your Dashboard. Eternal Me may require any documentation it deems necessary, in its sole discretion, to evidence any change before making changes in access or permissions, which may include and not be limited to death certificates, court orders, letters testamentary, and the like.
    6. Eternal Me does not resolve disputes over account ownership or access. If conflicting claims are made, Eternal Me will maintain the existing access settings unless you update them yourself, or unless we receive a legally enforceable court order instructing us to act. Until such conditions are met, Eternal Me is not liable for continued access by previously invited users or any actions they take within the Platform.
  5. Data Retention and Disposal
    1. You acknowledge and agree that the Platform is not intended to serve as a primary backup, archive, or repository for any data, and that you are solely responsible for maintaining independent copies of all information stored in your Digital Estate. Company assumes no liability of any kind for any accidental, premature, erroneous, or unauthorized deletion of your data, whether caused by Company, your law firm or estate planning professional, or any third party.
    2. Your account data is retained at the direction of the law firm or estate planning professional who established your account, and may be deleted by them at any time, in their sole discretion, for any reason, without notice to you. Company may also delete your account data if you violate the Acceptable Use Policy or any term of the Agreements.
    3. In the event of your passing, if Company receives notification through the Eternal Portal, Company will endeavor to retain your Digital Estate for the period specified in your account settings, not to exceed eighteen (18) months from the date of notification. If no retention period is specified, Company will endeavor to retain your Digital Estate for a default period of six (6) months from notification. These periods are targets and not guarantees. Your Legacy Manager(s) are solely responsible for exporting or preserving any information prior to expiration of the applicable retention period, and Company shall have no liability for deletion of data in accordance with this section.
    4. Company does not warrant the continued availability of any data stored in the Platform at any time, and the existence of a retention period does not constitute a guarantee of data availability during that period.
  6. Miscellaneous:
    1. Capitalized terms not defined herein shall have the meanings set forth in the UToS.
    2. In the event of any conflict between this Agreement and the UToS, the terms of this Agreement shall control.
