Eternal Executor Advisor Agreement

    The following Eternal Executor Advisor agreement ("Agreement") supplements and is subject to Eternal Me Corporation's ("Company" or "Eternal Me") Universal Terms of Service (“UToS”), which are incorporated herein by this reference. Capitalized terms used and not otherwise defined herein shall have the meanings set forth in the UToS. In the event of a conflict with the UToS, this Agreement shall control.
  1. Digital Executor Advisory Service
    1. By enrolling in the Eternal Executor Advisory Service (the "Service"), you ("Customer") designate Eternal Me Corporation to assist your Executor, Trustee, or other legally appointed Fiduciary (your "Administrator") with the administration of the the assets you have specifically set forth within your Eternal Dashboard, after you pass away.
  2. Scope and Validity of Digital Executor Advisory Service
    1. Designated Digital Assets Only:
      1. Eternal Me will assist your Administrator only with the specific digital assets you have entered within your Eternal Dashboard, which includes, but is not limited to email accounts, social media profiles, and other digital assets. Eternal Me can only assist with assets entered within our system. Company will assist with custom and "Other" asset class entries with reasonable efforts only.
    2. The Service is provided to customers under the following conditions:
      1. Active Subscription: To utilize the Service, you must maintain a valid and paid subscription to the service at the time of your passing. If your subscription has been cancelled, lapsed, or has been administratively suspended for a violation of our terms of service, at the time of your passing, the Service may be invalid, in the sole discretion of Eternal Me.
      2. Three-Month Waiting Period: To maintain the readiness, integrity and effectiveness of the Service, a mandatory waiting period of three months from the date of subscription is in place. During this waiting period, the service may not be activated in the event of your passing, as determined in the sole discretion of Eternal Me.
    3. Fiduciary requirement:
      1. Eternal Me only advises your legally appointed Fiduciary. We cannot take any actions on your behalf, except as defined below:
        1. Certain digital asset providers may allow a "Legacy Contact" to be assigned to manage your digital affairs after you pass away. When a provider allows a corporation to act in this capacity, your Eternal Dashboard will provide you the ability and instructions on how to make such designation. In this case, if you have properly appointed Eternal Me as your "Legacy Contact", we will carry out any non-financial wishes you specify, such as cancelling, deleting, or memorializing your profile.
  3. Execution of Digital Wishes
    1. Eternal Me will assist your Administrator to carry out the instructions and preferences provided by you in instructions, as is commercially reasonable for us to do so, and as is legal within your jurisdiction. By enrolling in the Service, you are granting Eternal Me the right to access and view all data you have provided us, and perform various tasks, including but not limited to providing assistance, either human or automated, with the access, preservation, transfer, or deletion of digital content and assets in alignment with your wishes as specified in the Dashboard. This empowers us to assist in ensuring that your digital legacy is managed according to your wishes and in a manner that respects your privacy and security. You acknowledge and agree that some digital providers may limit or restrict anyone executor from carrying out certain wishes, and Eternal Me shall not be liable for any failure of your wishes to be executed, if they have undertaken reasonable commercial efforts to do so.
  4. Authorization
    1. Revocable Authority: Customer acknowledges and agrees that their appointment of Eternal Me as an advisor to their Administrator is revocable at any time. Customer may amend or revoke their designation by following the process outlined in the Eternal Dashboard.
  5. Privacy and Data Security
    1. Eternal Me is committed to maintaining the privacy and confidentiality of your digital data. We will adhere to the highest standards of data security and will only access and manage your digital assets as per your instructions.   6. Timeline for Execution of Digital Wishes
    1. Eternal Me is committed to assisting with the timely execution of your digital wishes as set forth in your Dashboard. In cases where you have selected and enabled automatic notifications or other actions through the portal, the execution of these wishes will occur promptly. Upon receiving official notification of your passing along with a death certificate, the process to assist your Administrator can typically commence within one business day. This expedited timeline helps ensures that your digital legacy is managed in a timely manner, aligning with your preferences, however, ultimately it is your Administrator who is responsible for carrying out all actions.
  7. Keeping Your Data Updated.
    1. To ensure the effective execution of your digital wishes and the accuracy of our records, customers are required to keep their digital wishes updated. Any changes or modifications to your digital wishes should be promptly reflected in your Dashboard. It is important to maintain up-to-date information regarding designated digital assets, access credentials, and any instructions you wish to be carried out. We record changes in our system records to ensure that your digital wishes are faithfully executed in accordance with your latest instructions.
  8. Communications With Your Contacts.
    1. By entering the names and email addresses of your Administrators and beneficiaries in the Dashboard, you authorize Eternal Me to send them invitations via email to create an account on the platform in order to manage their workflow or receive your assets as you have defined. However, it is essential to note that joining the platform is not mandatory for the designated contacts.
  9. Data Access, Viewing, and Erasure Authorization
    1. By enrolling in the Service, you hereby grant Eternal Me explicit authorization to assist your Administrator to access, view, and/or erase or otherwise permanently destroy data, to a commercially reasonable extent, in accordance with the instructions and preferences provided by you in your Dashboard.
    2. The data access, viewing, and erasure powers granted herein will be executed as is commercially reasonable to do, and they are exclusively intended for the purpose of fulfilling your digital wishes. Eternal Me will exercise this authority with the utmost care and respect for your digital assets and privacy, in compliance with the instructions you have provided.
    3. It's important to note that this authorization is granted solely for the purpose of fulfilling your digital wishes and does not extend to any other use or access of your data. Eternal Me is dedicated to ensuring that your digital legacy is managed in a manner that respects your privacy and security.
  10. Termination and Continuity
    1. Termination: Termination of the Service may occur at any time as per the UToS.
    2. Continuity: Eternal Me shall implement appropriate and commercially reasonable continuity measures to help ensure the proper execution of Customer's digital wishes even in the event of our termination, dissolution, or incapacity.
